Selling a duplex in San Diego

Short answer: Selling a duplex is like selling a home and a small rental at once. If tenants live there, their rights usually stay with the home. California and the City of San Diego both have just-cause rules. And you must hand off or return the tenants’ deposits. Plan those steps before you list.

I help owners in La Jolla and around coastal San Diego sell homes with tenants, including duplexes. The tenant rules shape your timeline and who your buyers are.

This guide quotes the main rules and lists the papers to gather. It isn’t legal advice.

What California law says about tenants

California Civil Code section 1946.2(a) says:

“Notwithstanding any other law, after a tenant has continuously and lawfully occupied a residential real property for 12 months, the owner of the residential real property shall not terminate a tenancy without just cause, which shall be stated in the written notice to terminate tenancy.”

In plain words, once a tenant has lived there long enough, an owner needs a reason the law allows to end the lease. Selling the home is not one of those reasons by itself. Some homes are exempt, including some duplexes where the owner lives in one unit. Ask an attorney if yours qualifies.

What the City of San Diego adds

Inside City limits, Municipal Code section 98.0704 says:

“A landlord shall not terminate a tenancy without just cause. For purposes of this Division, just cause includes at-fault just cause and no-fault just cause.”

The City rule covers homes inside City limits only. Other cities in the county follow state law or their own rules.

Security deposits move with the sale

California Civil Code section 1950.5(i) says:

“Upon termination of the landlord’s interest in the premises, whether by sale, assignment, death, appointment of receiver, or otherwise, the landlord or the landlord’s agent shall, within a reasonable time, do one of the following acts, either of which shall relieve the landlord of further liability with respect to the security held:”

In plain words, you either pass each deposit to the buyer and tell the tenant, or give it back to the tenant. The statute lists both options. Keep a clear record of each deposit.

Two common paths

  • Sell with tenants in place. Buyers who want income may like the leases. Give them copies early.
  • Sell one or both units empty. If a tenant leaves on their own, or a legal reason applies, the units can be shown and staged. Get legal advice before any notice.

See my selling with tenants guide for showings and notice basics.

Papers to gather

  • Every lease and any changes to it.
  • A list of deposits and the rent each tenant pays.
  • Any notices sent or received.
  • Repair records for both units.
